## Key Points

This summary is part of the Agreement, but the full text below controls.

- Trading is risky. You can lose money, including more than you invest. Every trade is your decision.
- Results you see from Josh, staff, coaches or members are not typical and are not guaranteed.

- Payments are final except as stated at checkout. Subscriptions renew until you cancel.
- Do not share your account or copy, record or resell our content.
- Disputes go to individual arbitration, not court. No class actions and no jury. You can opt out within 30 days.
- Your typed name is your legal signature.

This Member Agreement ("Agreement") is a binding contract between you and Nala Financial LLC, a Texas limited liability company doing business as Stocks With Josh, SWJ and The Friendly Trader ("Company," "we," "us" or "our"). It covers the Friendly Trader app on every device, thefriendlytrader.com, stockswithjosh.com, our community, chat, courses, coaching, live sessions, tools, indicators, alerts, scanners, calendars, Pip and every other product or service we offer (together, the "Services").

PLEASE READ SECTION 17 CAREFULLY. IT REQUIRES YOU TO RESOLVE DISPUTES WITH US THROUGH INDIVIDUAL BINDING ARBITRATION, WAIVES YOUR RIGHT TO A JURY TRIAL, AND WAIVES YOUR RIGHT TO BRING OR JOIN A CLASS ACTION. YOU MAY OPT OUT OF ARBITRATION WITHIN 30 DAYS AS EXPLAINED IN SECTION 17.9.

## 1. Acceptance and Electronic Signature

1.1. By tapping "I have read and agree," typing your name and tapping "Sign," you agree to this Agreement. You agree that your typed name is your electronic signature, that it has the same legal effect as a handwritten signature, and that this Agreement is a "writing" signed by you under the federal Electronic Signatures in Global and National Commerce Act (E-SIGN) and the Texas Uniform Electronic Transactions Act.

1.2. You confirm that you had the opportunity to read this entire Agreement before signing, that you were able to scroll through and review every section, and that you had the chance to ask us questions at support@stockswithjosh.com before agreeing.

1.3. You consent to receive this Agreement, notices, disclosures and other communications from us electronically, including in the app, by email, by push notification and on our websites. You may download or request a copy of this Agreement at any time by contacting support. You may withdraw your consent to electronic communications by closing your account, which ends your access to the Services.

1.4. We keep a record of your acceptance, including your typed name, your account and device identifiers, the date and time, the app version, the version of this Agreement you accepted, and network information such as your IP address. You agree that this record is accurate evidence of your acceptance.

1.5. This Agreement includes our Terms of Use (stockswithjosh.com/terms) and our Privacy Policy (stockswithjosh.com/privacy), which are incorporated by reference. If this Agreement conflicts with the Terms of Use or any other document we publish, this Agreement controls. If you do not agree, do not use the Services.

## 2. Eligibility

2.1. You must be at least 18 years old and able to form a binding contract. If you are 18 but considered a minor where you live, you may not use the Services.

2.2. You confirm that you are not located in a country subject to a U.S. government embargo, are not on any U.S. government list of prohibited or restricted parties, and are not barred from using the Services under any law that applies to you.

2.3. You confirm that the information you give us, including your name and contact details, is true and complete, and that the name you type when signing is your full legal name.

## 3. Education Only. Not Investment Advice.

3.1. Everything we provide is for educational and informational purposes only. This includes, without limitation, courses, lessons, quizzes, videos, livestreams, live sessions, coaching, chat messages, posts, alerts, signals, watchlists, trade ideas, chart markups, indicators, the A+ Scalps, MACD, Patterns, Screener, Stop Finder, Earnings, Economy and Today tools, scanners, calendars, levels, targets, stop prices, "fail" prices, entries, examples, Pip's answers and anything said by Joshua Nichols, our staff, our coaches, our moderators or other members (together, "Content").

3.2. No Content is, or should be taken as, individualized investment, financial, trading, legal, tax or accounting advice, or a recommendation or solicitation to buy, sell or hold any security, option, future, cryptocurrency or other financial instrument. No Content takes into account your personal financial situation, objectives, risk tolerance or needs.

3.3. Nala Financial LLC is not a registered investment adviser, broker-dealer, commodity trading advisor, commodity pool operator, futures commission merchant, financial planner or fiduciary, and is not registered with the U.S. Securities and Exchange Commission, the Commodity Futures Trading Commission, FINRA, the National Futures Association or any state securities regulator. Unless a person tells you otherwise in writing, none of our owners, staff, coaches or moderators are licensed or registered in those capacities, and none of them act as your adviser when they provide Content.

3.4. No fiduciary, advisory, brokerage or other special relationship is created between you and us, or between you and any of our staff, coaches or members, by this Agreement or by your use of the Services.

3.5. We do not manage money, take custody of funds, execute trades, or have access to your brokerage accounts. You alone decide whether to place any trade, and you alone are responsible for every trade you place and every result.

3.6. Content is general and impersonal. It is published to many people at once and is not tailored to you. Before making any financial decision, you should do your own research and consult a licensed financial professional who knows your situation.

## 4. Trading Risk. You Can Lose Money.

4.1. Trading and investing in stocks, options, futures, cryptocurrencies and other instruments involves substantial risk of loss and is not suitable for everyone. You may lose some or all of the money you trade with. With options, futures, short selling and margin, you may lose more than you invested and may owe additional money to your broker.

4.2. Options can expire worthless. Leveraged and short-term trading, including day trading and scalping, carries greater risk. Prices can move quickly, gap overnight or around news, and orders may not fill at the price you expect. Extended-hours trading carries additional risk, including lower liquidity and wider spreads.

4.3. You should only trade with money you can afford to lose. You confirm that you understand these risks, that you are solely responsible for evaluating them, and that you accept them.

4.4. Pattern day trader rules, margin requirements, tax consequences and other rules set by your broker and by law apply to you. Understanding and following them is your responsibility.

## 5. No Guarantees. Results Are Not Typical.

5.1. Past performance, whether actual or hypothetical, is not indicative of future results. No representation is made that you will or are likely to achieve profits or losses similar to anything shown or discussed.

5.2. Results shared by Joshua Nichols, staff, coaches or members, including in the Wins channel, testimonials, screenshots, scoreboards, leaderboards, recaps, ads and social media, are individual experiences. They are not typical, are not verified by us unless we say so, may not reflect losses, fees, commissions or taxes, and are not a promise or prediction of your results. Most people who trade lose money.

5.3. Backtests, statistics, win rates, hit rates, study results, "A+" or other grades, examples and hypothetical or simulated results have inherent limits. They are prepared with the benefit of hindsight, do not involve real money or real executions, may not account for slippage, fees or liquidity, and may be revised. They do not guarantee that any pattern, setup or tool will work in the future.

5.4. We make no promise that our courses, coaching or tools will make you a profitable trader, help you earn income, or replace any job or source of income.

## 6. Tools, Data, Alerts and Pip

6.1. Our tools, indicators, scanners, alerts, calendars, charts and data are provided for education only, "as is" and "as available." Market data, prices, earnings dates, economic events, news, levels and calculations may be delayed, incomplete, inaccurate, or unavailable, and may come from third parties such as market data providers, TradingView, brokers and exchanges, for which we are not responsible.

6.2. Alerts, push notifications and signals may arrive late, arrive more than once, not arrive at all, or be wrong. You must not rely on any alert, notification or tool as your only source of information, and you must not rely on them to manage risk on an open position.

6.3. Pip and other automated or artificial intelligence features generate answers automatically. Those answers can be wrong, incomplete, out of date or misleading, and they are not reviewed by a person before you see them. Pip is not a person, is not an adviser, and its answers are Content subject to Section 3.

6.4. We may add, change, limit, pause or remove any tool, feature, lesson or part of the Services at any time, with or without notice, including tools still being built or tested. Some features may be labeled preview, beta or under construction and may be less reliable.

6.5. Links to or integrations with third-party services, including Whop, Apple, TradingView, brokers, Discord and Zoom, are provided for convenience. Your use of them is governed by their terms, and we are not responsible for them.

## 7. Conflicts of Interest

7.1. Joshua Nichols, our staff, our coaches and other members may hold, buy or sell positions in securities and other instruments that are discussed in the Services, including before, during or after Content about them is published, and may trade in a way that differs from or opposes what is discussed. We do not restrict this unless a written policy says otherwise.

7.2. We may receive compensation from third parties, including affiliate or referral commissions from brokers, platforms, tools or other products we mention or link to. A mention or link is not an endorsement or a recommendation.

## 8. Coaching, Live Sessions and Community

8.1. Coaching sessions, live sessions, livestreams, webinars and chat are educational. Coaches may be independent contractors and are not our employees unless we say so. A coach's views are their own and are Content under Section 3.

8.2. Live sessions, coaching sessions, livestreams and chat may be recorded, transcribed, stored and used by us to provide, improve and promote the Services. By joining one, you consent to being recorded, including your voice, image, name and messages, and you waive any right to inspect or approve those recordings. If you do not want to be recorded, turn off your camera and microphone or do not join.

8.3. You will follow our community rules and the directions of our moderators. You will not harass, threaten, impersonate, spam, defraud or abuse anyone; post illegal, hateful, sexually explicit or misleading content; promote other services, communities, products or "signal" groups; solicit money or offer to manage anyone's money; give or offer personalized investment advice; post false or exaggerated results; or share anyone's personal information.

8.4. You will not record, copy, screenshot for distribution, resell, rebroadcast or share outside the community any Content, live session, coaching session, chat message, member post or member information, except as we expressly allow.

8.5. We may, but are not required to, monitor, review, edit, remove or refuse any content, and we may mute, suspend, kick or ban any member at our discretion, with or without notice.

8.6. Other members are not our representatives. We are not responsible for what other members say or do, for any agreement you make with another member, or for any loss you suffer from following another member.

## 9. Your Account

9.1. One account per person. Your account is personal to you. You will not share, sell, rent or transfer your account, membership, login, tool access or install, and you will not let anyone else use them.

9.2. You are responsible for all activity on your account and for keeping your devices and login credentials secure. Tell us right away at support@stockswithjosh.com if you suspect unauthorized use.

9.3. We may suspend or end access for any account we reasonably believe is shared, automated, fraudulent or in breach of this Agreement, without refund where the law allows.

## 10. Payments, Renewals, Refunds and Chargebacks

10.1. Paid memberships, courses, coaching and other purchases are sold and billed through Whop or, where applicable, Apple, under their terms. Prices, billing periods and any trial terms are shown at checkout.

10.2. Subscriptions renew automatically at the then-current price for the same billing period until you cancel. Free trials convert to a paid subscription at the end of the trial unless you cancel before it ends. You can cancel at any time through Whop or, for Apple purchases, through your Apple account settings. Cancellation stops future renewals; your access continues through the end of the period you already paid for.

10.3. Except where the law requires otherwise or where the refund policy shown at checkout says otherwise, all payments are final and non-refundable, including for partial periods, unused time, unused coaching sessions, missed live sessions, and tools or features that changed or were removed.

10.4. Coaching sessions must be scheduled, rescheduled or canceled according to the rules shown when booking. A missed session without the required notice may be forfeited.

10.5. If you believe a charge is wrong, contact support@stockswithjosh.com first so we can try to fix it. If you file a chargeback or payment dispute for a charge you authorized, we may suspend or end your access, and we may provide your acceptance record, account activity and this Agreement to the payment processor as evidence.

10.6. We may change prices for future billing periods. We will tell you in advance of a price change that affects your active subscription, and you can cancel before it takes effect.

10.7. Giveaways, contests, spin wheels and other promotions are governed by their own official rules. No purchase is necessary where the official rules or the law say so.

## 11. Our Intellectual Property

11.1. The Services and all Content we provide, including the Friendly Trader app, courses, videos, indicators, tools, scanners, code, data compilations, designs, Pip, characters, names, logos and trademarks such as Stocks With Josh, SWJ and The Friendly Trader, are owned by us or our licensors and are protected by copyright, trademark and other laws.

11.2. We grant you a limited, personal, non-exclusive, non-transferable, revocable license to use the Services for your own personal, non-commercial education while your account is in good standing. All other rights are reserved.

11.3. You will not copy, record, reproduce, distribute, publish, sell, resell, rent, sublicense, rebroadcast, translate, modify or create derivative works of any Content or part of the Services; reverse engineer, decompile, scrape, crawl, data-mine or extract data or code from the Services; use the Services or Content to train or build any artificial intelligence or machine learning model; build or sell a competing product or service; remove any notice; bypass any access control, paywall, tool switch or security measure; or use bots or automated means to access the Services.

11.4. If you breach Section 11, you agree that we will suffer irreparable harm, that money damages alone would not be enough, and that we may seek an injunction or other equitable relief in any court of competent jurisdiction without posting a bond, in addition to any other remedy.

## 12. Your Content and Feedback

12.1. You keep ownership of what you post. You grant us a worldwide, non-exclusive, royalty-free, perpetual, irrevocable, sublicensable and transferable license to host, store, copy, display, perform, distribute, modify, translate and use your posts, messages, wins, screenshots, profile name and photo, and your participation in recorded sessions, in connection with operating, improving and promoting the Services, including in the app, on our websites, in emails and in advertising. For wins and testimonials, you consent to our use of your profile name or first name and last initial with them. You can ask us to stop using your content in new marketing by contacting support.

12.2. You confirm that you own or have the rights to everything you post, that it is true and not misleading, and that it does not violate any law or anyone's rights.

12.3. Any ideas, suggestions or feedback you give us may be used by us freely and without any obligation or payment to you.

## 13. Disclaimer of Warranties

13.1. TO THE FULLEST EXTENT ALLOWED BY LAW, THE SERVICES AND ALL CONTENT ARE PROVIDED "AS IS," "AS AVAILABLE" AND "WITH ALL FAULTS," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED OR STATUTORY, INCLUDING ANY WARRANTY OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, TIMELINESS, COMPLETENESS, AVAILABILITY, SECURITY OR RESULTS, AND ANY WARRANTY ARISING FROM A COURSE OF DEALING OR USAGE OF TRADE.

13.2. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, SECURE OR FREE OF VIRUSES, THAT DEFECTS WILL BE CORRECTED, OR THAT ANY CONTENT, DATA, ALERT OR TOOL OUTPUT IS ACCURATE OR RELIABLE. NO ADVICE OR INFORMATION YOU GET FROM US OR THROUGH THE SERVICES CREATES ANY WARRANTY NOT STATED IN THIS AGREEMENT.

## 14. Limitation of Liability

14.1. TO THE FULLEST EXTENT ALLOWED BY LAW, NEITHER NALA FINANCIAL LLC NOR ITS OWNERS, MEMBERS, MANAGERS, OFFICERS, EMPLOYEES, CONTRACTORS, COACHES, MODERATORS, AGENTS, LICENSORS OR SUPPLIERS (THE "COMPANY PARTIES") WILL BE LIABLE FOR (A) ANY TRADING OR INVESTMENT LOSSES, LOST PROFITS, LOST OPPORTUNITIES OR MISSED TRADES; (B) ANY LOSS ARISING FROM YOUR RELIANCE ON ANY CONTENT, TOOL, ALERT, DATA OR PIP ANSWER, OR FROM ANY DELAY, ERROR, OMISSION OR INTERRUPTION IN THE SERVICES; OR (C) ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES, OR LOSS OF DATA, GOODWILL OR USE, IN EACH CASE HOWEVER CAUSED AND UNDER ANY THEORY OF LIABILITY, EVEN IF WE WERE TOLD THEY WERE POSSIBLE.

14.2. TO THE FULLEST EXTENT ALLOWED BY LAW, THE COMPANY PARTIES' TOTAL LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THIS AGREEMENT OR THE SERVICES WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100).

14.3. These limits are an essential part of the bargain between you and us and apply even if a limited remedy fails of its essential purpose. Some jurisdictions do not allow certain exclusions or limits, so some of them may not apply to you; in that case they apply to the fullest extent allowed.

## 15. Release and Assumption of Risk

15.1. You voluntarily assume all risks of trading and of using the Services. To the fullest extent allowed by law, you release the Company Parties from all claims, demands and damages, known or unknown, arising out of or related to any trade you make or do not make, any decision you make based on Content, and any dispute between you and another member or a third party.

15.2. If you are a California resident, you waive California Civil Code Section 1542, which says: "A general release does not extend to claims that the creditor or releasing party does not know or suspect to exist in his or her favor at the time of executing the release and that, if known by him or her, would have materially affected his or her settlement with the debtor or released party." You waive any similar law in any other jurisdiction.

## 16. Indemnification

16.1. You will defend, indemnify and hold harmless the Company Parties from and against all claims, losses, liabilities, damages, judgments, settlements, costs and expenses, including reasonable attorneys' fees, arising out of or related to your use of the Services, your trades, your content, your breach of this Agreement, your violation of any law, or your violation of anyone's rights. We may assume the exclusive defense of any matter at your expense, and you will cooperate with us. You will not settle any matter that affects us without our written consent.

## 17. Dispute Resolution, Binding Arbitration and Class Action Waiver

17.1. Informal resolution first. Before starting arbitration or any court case, you and we agree to try to resolve the dispute informally for at least 60 days. You must send a written notice to legal@thefriendlytrader.com with your name, the email on your account, a description of the dispute and the relief you want. We will send notice to the email on your account. If you are represented by a lawyer, you must still personally take part in an informal call if either side asks for one. The time limits in Section 17.11 are paused during this period.

17.2. Agreement to arbitrate. Except as provided in Section 17.7, you and we agree that any dispute, claim or controversy arising out of or relating to this Agreement, the Services, any Content, any purchase, or the relationship between you and us, whether based in contract, tort, statute, fraud, misrepresentation or any other legal theory, and whether it arose before or after this Agreement ("Dispute"), will be resolved exclusively by final and binding individual arbitration, not in court. This includes any Dispute about the scope, validity, enforceability or arbitrability of this Section 17, which the arbitrator decides, except that a court decides any Dispute about Sections 17.5 and 17.6.

17.3. Rules and administrator. Arbitration will be administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules then in effect (available at adr.org), as modified by this Agreement. If the AAA is unavailable, the parties will agree on another administrator or a court will appoint one. The Federal Arbitration Act governs the interpretation and enforcement of this Section 17.

17.4. Fees and location. Payment of filing, administration and arbitrator fees will be governed by the AAA's rules, and we will pay any amount those rules require a business to pay. For claims of $10,000 or less, the arbitration will be conducted by written submissions or video conference unless the arbitrator decides an in-person hearing is needed. Any in-person hearing will be held in Collin County, Texas, or, if you prefer, in the county where you live. Each party pays its own attorneys' fees unless the law or the arbitrator's award under applicable law provides otherwise.

17.5. Class action and jury trial waiver. YOU AND WE AGREE THAT EACH MAY BRING DISPUTES AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY CLASS, COLLECTIVE, CONSOLIDATED, REPRESENTATIVE OR PRIVATE ATTORNEY GENERAL ACTION. THE ARBITRATOR MAY NOT CONSOLIDATE MORE THAN ONE PERSON'S CLAIMS AND MAY AWARD RELIEF ONLY IN FAVOR OF THE INDIVIDUAL PARTY SEEKING IT AND ONLY TO THE EXTENT NEEDED TO PROVIDE RELIEF FOR THAT PARTY'S INDIVIDUAL CLAIM. YOU AND WE EACH WAIVE THE RIGHT TO A TRIAL BY JURY. If this Section 17.5 is found unenforceable as to any claim, that claim must be severed and heard in court after the arbitration of all other claims, and Section 17 otherwise remains in effect.

17.6. Mass arbitration. If 25 or more similar demands for arbitration are filed against us by or with the help of the same or coordinated lawyers or organizations, they will be administered in batches of no more than 50, with only one batch proceeding at a time, the next batch starting only after the previous one is resolved, and fees charged per batch to the extent the administrator allows. The time limits for filing are paused for demands waiting in a later batch. A court may enforce this Section 17.6.

17.7. Exceptions. Either party may (a) bring an individual claim in small claims court in Collin County, Texas, or in the county where you live, if it qualifies and stays there; and (b) bring a claim in court for an injunction or other equitable relief to stop infringement, misuse or misappropriation of intellectual property, Content or the Services, or a breach of Sections 8.4, 9.1 or 11.

17.8. Courts. For any Dispute not subject to arbitration, and for enforcing an arbitration award, you and we agree to the exclusive jurisdiction and venue of the state and federal courts located in Collin County, Texas, and waive any objection to those courts.

17.9. Your right to opt out. You may opt out of this agreement to arbitrate by emailing legal@thefriendlytrader.com within 30 days after you first accept this Agreement, with the subject "Arbitration Opt-Out," your full name, and the email on your account, saying that you opt out of arbitration. Opting out does not affect any other part of this Agreement, including Sections 17.5 (as to class actions), 17.8 and 17.11, and does not affect any earlier arbitration agreement with us.

17.10. Changes. If we change this Section 17 after you accept it, you may reject the change by emailing legal@thefriendlytrader.com within 30 days after it takes effect, and the most recent version of Section 17 you accepted will continue to apply to you.

17.11. Time limit. TO THE FULLEST EXTENT ALLOWED BY LAW, ANY DISPUTE MUST BE BROUGHT WITHIN ONE (1) YEAR AFTER IT ARISES, OR IT IS PERMANENTLY BARRED.

## 18. Governing Law

18.1. This Agreement and any Dispute are governed by the laws of the State of Texas and applicable U.S. federal law, without regard to conflict of law rules. Section 17 is governed by the Federal Arbitration Act. The United Nations Convention on Contracts for the International Sale of Goods does not apply.

## 19. Suspension and Termination

19.1. You may stop using the Services and delete your account at any time. Deleting your account does not cancel a Whop or Apple subscription; cancel those separately as described in Section 10.

19.2. We may suspend, limit or end your access to all or part of the Services at any time, with or without notice, for any reason, including if we believe you breached this Agreement, created risk or possible legal exposure for us, or acted in a way that harms other members or our business. Where the law allows, no refund is owed when access ends for a breach.

19.3. Sections 3 through 5, 7, 10.3, 10.5, 11 through 18, and 20 through 22 survive any end of this Agreement or your access.

## 20. Privacy and Communications

20.1. Our Privacy Policy explains how we collect, use and share information. You agree that we may collect and use information about your use of the Services, including device and usage information, as described there.

20.2. You agree that we may contact you by email, push notification and in-app message about your account, the Services, and, where allowed by law, promotions. You can opt out of promotional emails and turn off push notifications at any time. Account and legal notices are not optional while you have an account.

## 21. Apple Devices

21.1. If you use the Friendly Trader app on an Apple device, this Agreement is between you and Nala Financial LLC only, not Apple, and Apple is not responsible for the app or its content. Your license to use the app is limited to Apple-branded products you own or control, as permitted by the Apple Media Services Terms. Apple has no obligation to provide maintenance or support for the app. If the app fails to conform to any applicable warranty, you may notify Apple, and Apple will refund any purchase price you paid for the app; to the maximum extent allowed by law, Apple has no other warranty obligation. Apple is not responsible for addressing any claims by you or a third party relating to the app, including product liability claims, claims that the app fails to conform to legal or regulatory requirements, and consumer protection claims, or for any claim that the app infringes a third party's intellectual property rights. Apple and its subsidiaries are third-party beneficiaries of this Agreement and may enforce it against you.

## 22. General Terms

22.1. Changes. We may update this Agreement from time to time. When we do, we will change the version and effective date at the top and, for material changes, ask you to review and accept the new version in the app before continuing to use the Services. Changes do not apply to a Dispute that was already pending when the change took effect. If you do not accept a new version, you must stop using the Services.

22.2. Entire agreement. This Agreement, together with the Terms of Use, Privacy Policy, community rules, official rules for any promotion, and the terms shown at checkout, is the entire agreement between you and us about the Services and replaces any earlier understanding, statement or promise. No statement by any staff member, coach, moderator or member changes this Agreement.

22.3. Severability. If any part of this Agreement is found invalid or unenforceable, that part will be enforced to the fullest extent allowed or limited as needed, and the rest of this Agreement stays in full effect, except as stated in Section 17.5.

22.4. No waiver. Our failure or delay in enforcing any part of this Agreement is not a waiver of our right to enforce it later.

22.5. Assignment. You may not assign or transfer this Agreement or your account. We may assign or transfer this Agreement, including in connection with a merger, acquisition, sale of assets or reorganization, without your consent.

22.6. Force majeure. We are not liable for any delay or failure caused by events beyond our reasonable control, including outages of internet, cloud, data, payment or app store providers, market or exchange disruptions, natural disasters, acts of government, labor disputes, or attacks on our systems.

22.7. Independent parties. You and we are independent parties. Nothing in this Agreement creates a partnership, joint venture, employment, agency or fiduciary relationship.

22.8. Notices. We may give you notice by email to the address on your account, in the app or on our websites. You must give us legal notice by email to legal@thefriendlytrader.com.

22.9. Interpretation. Headings are for convenience only. "Including" means "including without limitation." If this Agreement is translated, the English version controls.

22.10. Consumer rights. Nothing in this Agreement limits any right you have under law that cannot be waived or limited by contract, and nothing in this Agreement prevents you from leaving an honest review of the Services or from reporting possible violations of law to any government agency.
